Registration obligations By visiting and using services on Savvy Spot (the "Site"), you represent that you are eligible to form a binding contract and are not barred from receiving services under the laws of the United States or other applicable jurisdiction. You also agree to provide and maintain true, accurate, current, and complete information about yourself as prompted by the "Create An Account" form. If any information you provide fail to meet these requirements or Savvy Spot has reasonable grounds to suspect that such information are untrue, inaccurate, not current or incomplete, Savvy Spot has the right to suspend or terminate your account and refuse any and all current or future use of the service. All decisions concerning limited access to the site or termination of your account is at Savvy Spot sole discretion and all decisions are final unless otherwise notified. Account responsibility As a member of Savvy Spot, you are responsible for maintaining accurate account information at all times, including valid email address information. You are responsible for the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. You agree to (1) immediately notify Savvy Spot of any unauthorized use of your password or account or any other breach of security, and (2) Savvy Spot recommends that you "Log Off" from your account at the end of each session if using a public computer. Savvy Spot cannot and will not be liable for any losses or damages incurred through the use of your account or password by a third party. Member conduct You agree that all data, information, text, photographs, graphics, messages, tags, or other contents (the "Content") are the sole responsibility of the person from whom such content originated, whether publicly posted or privately transmitted. Savvy Spot is not responsible for any and all contents that you post, upload, transmit, or otherwise make available through the site. Savvy Spot does not control the content posted, therefore, does not guarantee the accuracy, integrity or quality of such content. You agree that by using the site, you may be exposed to content that is inappropriate, offensive, or otherwise objectionable. Under no circumstances Savvy Spot will be liable in any way for any content, including, but not limited to, any errors or omissions in any content, or any losses or damages of any kind arises as a result of the use of any content posted, uploaded, linked, or otherwise made available via the site. During your visit to Savvy Spot, you will not: post, upload, transmit, or otherwise make available any content that are false, unlawful, misleading, inappropriate, offensive, or otherwise objectionable; harm any person in any way; intentionally or unintentionally, violate any applicable local, state, national or international laws; violate third party rights, or Savvy Spot policy; impersonate any person or individual, including, but not limited to, the Savvy Spot administrator, a forum leader or representative, guide or host, or falsely state or otherwise misrepresent your affiliation with a person or individual; manipulate in any way identifiers in order to disguise the origin of any content transmitted through the site; post, upload, transmit, or otherwise make available any content that you do not have a right to make available under any law or under contractual or fiduciary relationships including, but not limited to, inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements; copy, modify, or distribute content that infringes any copyright, trademark, patent or other proprietary rights of Savvy Spot or any party; post, upload, transmit, or otherwise make available any unauthorized advertising, spam, chain letters, pyramid schemes, or any other form of solicitation or self promotion; post, upload, transmit, or otherwise make available any content and any material that contains viruses or any technologies that may harm, disrupt, destroy or limit the functionality of Savvy Spot, or the interests or property of Savvy Spot users; recreate or frame any portion of the Savvy Spot web pages; interfere with or disrupt the proper working of the site or any activities conducted on the site; collect or store personal information about Savvy Spot users, including users' names and/or email addresses) without their consent; take any action that may undermine the feedback or ratings systems (such as displaying, importing or exporting rating information off of the site or for using it for purposes unrelated to Savvy Spot); and/or transfer your Savvy Spot account (including rating) and screen name to another party without our consent. You accept that Savvy Spot and its moderators reserve the right to limit, suspend, or terminate our service and user accounts, prohibit access to our website, delay or remove hosted content, and take technical and legal steps to keep users off the site if we suspect any violation to our policies and User Agreement, possible legal liabilities, or create any problem. We also have the right to cancel unconfirmed accounts or accounts that have been inactive for a long time. You understand that the service and software embodied within the site may include security components that permit digital materials to be protected, and that use of these materials is subject to usage rules set by Savvy Spot and/or content providers who provide content to the site. You may not attempt to override or circumvent any of the usage rules embedded into the site. Use and storage You acknowledge that Savvy Spot may establish general practices and limits concerning use of the site, including without limitation, the maximum number of days that contents are stored and retained by the site, the maximum disk space that will be allotted on Savvy Spot's servers on your behalf, and the maximum number of times (and the maximum duration for which) you may access the site in a given period of time. You agree that Savvy Spot has no responsibility or liability for the deletion or failure to store any contents, including but not limited to information, text, photographs, graphics, messages, tags, or other content maintained or transmitted by the site. There is a limit of one (1) account per person. Any subsequent accounts created without the express written permission of the Savvy Spot administrator will be banned and/or closed. Creating multiple accounts may also jeopardize your ability to access the Savvy Spot site and your original account may be banned and/or closed. You further acknowledge that Savvy Spot reserves the right to modify these general practices and limits from time to time as they see fit. Proprietary rights to content You acknowledge that Savvy Spot content, including but not limited to: text, sounds, photographs, graphics, or other material contained in any Savvy Spot communication, advertisements or messages, whether by Savvy Spot or Savvy Spot's advertiser's or partners, service and software are protected by copyrights, trademarks, service marks, patents, and/or other proprietary rights and laws. You are only permitted to use content, service, or software as expressly authorized by Savvy Spot, its advertisers and partners, as the case may be. License You understand, by posting, uploading, transmitting, or otherwise making available contents on the site, you grant Savvy Spot and related entities, royalty-free, non-exclusive, perpetual, worldwide, irrevocable, sublicenable right and license to use, copy, display, store, modify, distribute, reproduce work from such content in any form, media, technology of any kind known now or in the future. Notices All Savvy Spot notices will be, but not required to, given by email, postal mail, or by general posting to the SavvySpot.com website. Notice shall be deemed given 24 hours after email is sent, unless the sending party is notified that the email address is invalid. Indemnity You agree to indemnify and hold Savvy Spot, its officers, agents, directors, subsidiaries, employees, affiliates, and partners, harmless from any claim or demand, including costs and attorneys' fees, made by any third party due to or arising out of your violation of this User Agreement, your use of the site, your connection to the site, or your violation of any laws or the rights of a any person or entity. Disclaimer of warranties This site is provided by Savvy Spot "as is" and "as available" basis. Savvy Spot and its affiliates make no representation or warranties of any kind, express or implied as to the operation of the site, services, information, contents, materials, or products included on the site or otherwise made available within the site. To the full extent permissible by applicable law, Savvy Spot and its affiliates disclaim all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for any particular purpose. Savvy Spot and its affiliates do not warrant the accuracy or completeness of the information, content, links, materials, or otherwise made available within the site. Savvy Spot and its affiliates do not make any representation that access to this site will be uninterrupted or error-free, or that the site is free of virus or other harmful components. No information or advice, whether oral or written, obtained by any Savvy Spot users, the site shall create any warranty not expressly stated in the User Agreement. You agree that your use of this site is at your sole risk. Modifications to the User Agreement You agree that the site and User Agreement may be modified or discontinue without prior notice. By visiting and using services on the site after any modifications, you agree and accept to the modified User Agreements. You agree that Savvy Spot will not be liable to you or to any third party for any modifications, discontinuance of the site. Termination of account Any violation of the terms and conditions of this Agreement is grounds for termination of your account and password with Savvy Spot. Savvy Spot reserves the right to terminate your account and password, if your account is inactive for six (6) consecutive months. An account shall be deemed and considered to be inactive if there has not been any log in's. You may terminate your account and password at any time by sending an email to our 24 Hour Customer Support. If your account and password with Savvy Spot is terminated for any reason, either by you or by Savvy Spot, you shall forfeit any and all earned My Share™ and cash in your account. Notice and procedure for making claims of copyright or intellectual property infringement Savvy Spot respects the intellectual property of others, and we ask our users to do the same. Savvy Spot may, in appropriate circumstances and at its discretion, disable and/or terminate the accounts of users who may be repeat infringers. If you believe that your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please provide Savvy Spot the following information: an electronic signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest; a description of the copyrighted work or other intellectual property that you claim has been infringed or violated; a description of where the material that you claim is infringing is located on the site, including a link to the post(s) or thread(s); your address, telephone number, and email address; a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright or intellectual property owner or authorized to act on the copyright or intellectual property owner's behalf. Savvy Spot for the claims of copyright or other intellectual property infringement can be reached at Abuse Department Advertisers Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through the site, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser. You agree that Savvy Spot shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the site. Links The site may provide, or third parties may provide, links to other World Wide Web sites or resources. Because Savvy Spot has no control over such sites and resources, you acknowledge and agree that Savvy Spot is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products or other materials on or available from such sites or resources. You further acknowledge and agree that Savvy Spot shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.
